Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Ruviq website (including ruviq.com and ruviq.com) and, where applicable, Ruviq's products and services, including PerfTestFlow and Qualixy (collectively, the "Services"). By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2. Additional Terms for Products

Certain Ruviq products and offerings, such as PerfTestFlow and Qualixy, may be subject to additional product-specific terms or subscription agreements (each, "Product Terms"). Where there is a conflict between these general Terms and any Product Terms you have agreed to, the Product Terms will control for that product or feature.

3. Eligibility and Accounts

You may use the Services only if you are at least the age of majority in your jurisdiction, able to form a binding contract with Ruviq, and not prohibited from using the Services under applicable law.

To access some features, you or your organization may need to create an account or obtain credentials. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must notify us promptly at support@ruviq.com if you suspect any unauthorized use of your account.

4. Acceptable Use

When using the Services, you agree that you will not:

  • Use the Services in violation of any applicable law or regulation
  • Reverse engineer, decompile, or attempt to derive the source code or underlying models, except as permitted by law
  • Interfere with or disrupt the integrity, security, or performance of the Services
  • Use the Services to transmit malicious code, spam, or unauthorized advertising
  • Attempt to gain unauthorized access to any systems, networks, or data
  • Use the Services to infringe or misappropriate the rights of any third party

You are responsible for ensuring that your use of the Services (including data you upload or process) is compliant with applicable laws, including data protection, export control, and industry-specific regulations.

5. Customer Data and Privacy

"Customer Data" means any data, content, or materials that you or your users submit to or generate through the Services. You retain ownership of your Customer Data. Subject to these Terms and our Privacy Policy, you grant Ruviq a limited, non-exclusive, worldwide license to host, process, and display Customer Data solely as necessary to provide and improve the Services to you.

Ruviq handles personal information in accordance with the Ruviq Privacy Policy, and where applicable, the product-specific privacy policies referenced above. You are responsible for obtaining any required consents from your users or customers before submitting their data to the Services.

6. Intellectual Property

Ruviq and its licensors retain all rights, title, and interest in and to the Services, including all software, interfaces, AI models, algorithms, documentation, design, and any improvements or derivatives thereof ("Ruviq IP"). Except for the limited rights expressly granted to you in these Terms or any applicable Product Terms, no rights are granted to you in or to Ruviq IP.

You may provide feedback, suggestions, or ideas about the Services ("Feedback"). You agree that Ruviq may use Feedback without restriction or obligation to you and that Ruviq owns all improvements to the Services based on such Feedback.

7. Beta Features and Trial Access

From time to time, Ruviq may offer beta features, pre-release functionality, or trial access to certain parts of the Services ("Beta Features"). Beta Features are provided for evaluation purposes only, may be changed or discontinued at any time, and are offered "as is" without any warranties. Ruviq may limit, suspend, or terminate access to Beta Features at any time in its sole discretion.

8. Third-Party Services

The Services may integrate with or allow you to access third-party services, software, or content (collectively, "Third-Party Services"). Your use of any Third-Party Services is subject to the terms and policies of those third parties, not these Terms. Ruviq is not responsible for and does not control Third-Party Services, and your use of them is at your own risk.

9. Service Modifications and Availability

We may modify, update, or discontinue parts of the Services from time to time, including adding or removing features. We will use reasonable efforts to provide advance notice of any material changes that significantly impact existing customers, but we may make changes without notice where necessary for security, legal, or operational reasons.

We aim to provide highly available, reliable Services, but we do not guarantee uninterrupted operation. The Services may be temporarily unavailable for maintenance, upgrades, or emergency downtime.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. RUVQI AND ITS AFFILIATES AND LICENSORS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Ruviq does not warrant that the Services will be error-free, uninterrupted, or that they will meet your performance or business requirements, nor that any data, insights, or recommendations provided by the Services will be accurate or suitable for your specific use case. You are responsible for reviewing and validating outputs before relying on them.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUVQI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUVQI'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO RUVQI FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR, IF YOU HAVE NOT PAID RUVQI, ONE HUNDRED U.S. DOLLARS (USD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Ruviq and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your breach of these Terms or any applicable laws; or (c) your Customer Data or your misuse of any data or outputs generated by the Services.

13. Term and Termination

These Terms remain in effect while you access or use the Services. We may suspend or terminate your access to the Services at any time if you breach these Terms, if we are required to do so by law, or if we discontinue the Services. You may stop using the Services at any time. Upon termination, your right to access or use the Services will cease, but any provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnities) will continue to apply.

14. Governing Law

These Terms will be governed by and construed in accordance with the laws applicable in your primary place of business or residence, without regard to conflict-of-laws principles, unless you and Ruviq have expressly agreed in writing to a different governing law or jurisdiction in a separate agreement.

15. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and may provide additional notice where appropriate (for example, via the website or in-product notifications). Your continued use of the Services after any changes take effect constitutes your acceptance of the updated Terms.
